Terms of Service

These terms cover the Opvera website, the Opvera mobile companion, shared location tablets, and restaurant operational workflows.

Last updated: October 12, 2026. Please also review the Privacy Policy.

Acceptance of terms

These Terms of Service govern the Opvera website, its Opvera mobile companion on personal phones and shared location tablets, and connected restaurant workflows. By creating an account, joining a pilot, using these services, or allowing team members to use them on your behalf, you agree to these terms.

If you use Opvera for a restaurant, restaurant group, or other organization, you represent that you are authorized to accept these terms for that organization.

Pilot and beta availability

Opvera may offer pilot, beta, early-access, or preview features. These features may change, be incomplete, contain errors, have limited availability, or be discontinued as the product develops.

Pilot and beta access is provided for evaluation and controlled rollout. Opvera may add, remove, or revise features during a pilot without promising that every feature will become generally available.

Account responsibility

You are responsible for maintaining accurate account information, managing authorized users, setting appropriate roles and permissions, and keeping login credentials secure.

You are responsible for activity under your account and for making sure team members use Opvera in a lawful, authorized, and reasonable way.

Opvera and shared location tablets

Opvera is a companion for authorized restaurant accounts. Company administrators manage subscriptions on the Opvera website; the mobile app does not offer subscription checkout. Features require the appropriate account, company, location, and employee access.

Managers can pair a tablet to a location and enable employees to use their own PINs. Keep pairing codes and PINs private and grant access only to authorized employees. Managers can review counts and revoke tablet or employee access. Shared-tablet counting requires internet access; a submitted count does not update canonical inventory until the manager review and publication conditions are met.

Restaurant data and user content

You retain responsibility for data, files, recipes, vendor information, POS data, inventory counts, pricing data, messages, and other content that you or your connected systems provide to Opvera.

You grant Opvera permission to process that information as needed to provide, secure, troubleshoot, support, and improve the service. Upload and connect only data you have the right to use. Connecting an account does not transfer ownership or override a supplier's, content owner's, or integration provider's usage terms.

Opvera handles information according to its Privacy Policy.

Acceptable use

You may not use Opvera to violate law, infringe rights, upload malicious code, interfere with the service, attempt unauthorized access, scrape or reverse engineer the service, abuse public forms or invite links, or use Opvera for deceptive, harmful, or unlawful activity.

You may not use Opvera to submit data that you do not have permission to use or to send unauthorized messages to employees, vendors, customers, or other parties.

Third-party services and integrations

Opvera may connect with POS systems, vendors, accounting tools, SMS providers, payment processors, EDI providers, storage providers, analytics tools, and other third-party services.

Those integrations may depend on third-party availability, permissions, API limits, account configuration, provider approval, and data quality. Opvera is not responsible for third-party service outages, policy changes, data errors, permission failures, or provider delays.

Optional AI assistance and permissions

Optional voice, photo, and document assistance processes the content needed for the feature through our service and AI providers, including OpenAI. Read the feature notice before starting, grant only the device permissions you want to use, and review suggested quantities, mappings, or recipes before applying them. You can stop a voice session and change permissions in device settings.

AI suggestions and connected-system information can be incomplete or incorrect. You remain responsible for confirming operational changes. The Privacy Policy explains mobile permissions, service-provider processing, and personal-data choices.

Operational intelligence and final decisions

Opvera provides operational intelligence, recommendations, alerts, draft workflows, and review queues to help restaurants understand what needs attention.

Opvera does not make final business decisions for you. You remain responsible for reviewing and approving vendor orders, pricing decisions, menu changes, inventory adjustments, payroll or accounting decisions, legal compliance, tax treatment, employee practices, and other operational decisions.

Opvera does not guarantee uptime, savings, margin growth, error-free automation, perfect data accuracy, or specific financial results.

No professional advice

Opvera is not a law firm, accounting firm, tax advisor, financial advisor, food safety consultant, HR advisor, or compliance advisor.

Information from Opvera is provided for operational review and decision support. You should consult qualified professionals for legal, tax, accounting, employment, regulatory, or compliance questions.

Subscriptions, billing, and cancellation

Some Opvera features may be offered through paid subscriptions, usage-based fees, pilot pricing, or other commercial arrangements. Pricing, billing cadence, included features, and any pilot terms may be provided in an order form, checkout flow, written agreement, or other customer communication.

Unless a separate written agreement says otherwise, you are responsible for approved charges, applicable taxes, and maintaining accurate billing information. Cancellation terms, renewal terms, and refund eligibility may depend on the plan or agreement that applies to your account.

Transactional SMS

Opvera may send transactional operational SMS messages when a restaurant operator provides a mobile number or invites a team member into workflows such as inventory counts, operational alerts, receiving/count coordination, and team workflows.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out, START to opt back in, or HELP for help. Opvera does not send marketing or promotional SMS through this messaging program. SMS delivery is carrier-dependent and is not guaranteed.

Disclaimers

Opvera is provided on an "as is" and "as available" basis to the fullest extent allowed by law. Opvera disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free operation.

Opvera may rely on third-party data, user-entered data, integration data, vendor files, POS exports, invoice information, and other inputs that may be incomplete, delayed, inaccurate, unavailable, or formatted unexpectedly.

Limitation of liability

To the fullest extent allowed by law, Opvera and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost savings, lost data, business interruption, or procurement of substitute services.

To the fullest extent allowed by law, Opvera's total liability for claims relating to the service will not exceed the amount paid by the customer to Opvera for the service during the three months before the event giving rise to the claim, or one hundred dollars if no amounts were paid.

Termination

You may stop using Opvera at any time. Opvera may suspend or terminate access if you violate these terms, create security or legal risk, fail to pay amounts owed, misuse the service, or if continued access is no longer commercially or operationally reasonable.

Stopping use or ending a subscription is separate from deleting your personal account. Account deletion and any continuing company records are handled under the deletion process and Privacy Policy.

Account deletion

Initiate a deletion request through Delete account in Opvera Settings or the account deletion page. You do not need to contact support to submit the request. We verify identity and provide a receipt, status, and completion date. The Opvera operator reviews and processes requests within 30 days; completion is confirmed only after processing is verified.

We remove personal account information and unnecessary personal attribution. Shared company operational history can continue with the deleted person's attribution removed. Deleting a personal account is distinct from closing a company or canceling its subscription. Sole-owner transfers or company closure are resolved during operator review. Any legally required retention is explained in the request process under the applicable obligation.

Changes to terms

Opvera may update these terms from time to time. When changes are material, Opvera will make reasonable efforts to provide notice through the website, product, email, or other appropriate channel.

Continued use of Opvera after updated terms are posted or communicated means you accept the updated terms.
